1. Scope and Acceptance
Resource Data, Inc. (“Resource Data,” “we,” “us,” or “our”) owns and operates resourcedata.com and other Resource Data webpages that link to these Terms and Conditions (collectively, the “Site”). These Terms and Conditions (“Terms”) govern your access to and use of the Site.
The Site is operated from the United States and is intended principally for organizations seeking Resource Data services in the United States and for U.S.-based business and recruiting activities. The Site may be accessible from other jurisdictions, but that accessibility alone does not constitute an offer or intentional targeting of Resource Data services into those jurisdictions.
By using the Site after being presented with these Terms or a link to them, you agree to comply with these Terms. If you do not agree, do not use the Site.
These Terms govern use of the Site and do not replace any master services agreement, statement of work, nondisclosure agreement, employment agreement, license, terms specifically applicable to a password-protected client portal, or other written agreement between Resource Data and you or your organization. If these Terms conflict with a separate written agreement, the separate agreement controls with respect to its subject matter.
2. Information Only; No Client or Employment Relationship
The Site and its content are provided for general informational purposes. Using the Site, submitting an inquiry, communicating with Resource Data, or submitting an employment application does not by itself create a client, consulting, employment, fiduciary, confidential, or other special relationship with Resource Data.
Nothing on the Site is a binding offer, bid, proposal, or commitment to provide services. A consulting or client relationship is created through a separate agreement accepted by Resource Data. Descriptions of services, case studies, experience, technologies, projects, or results on the Site are illustrative and do not guarantee particular results, availability, staffing, schedules, technologies, or suitability for a particular project.
3. Client Portal
Resource Data may provide authorized client users with access to a password-protected client portal or similar resources through or in connection with the Site.
Client Portal access is limited to authorized users. You are responsible for safeguarding credentials issued to you and for using the Client Portal only as authorized. You may not permit unauthorized access or attempt to access information, accounts, projects, or resources for which you have not been granted permission.
Use of the Client Portal is subject to any applicable client agreement, service-level agreement, nondisclosure agreement, license, or separate portal terms. These Terms do not change, expand, or limit rights or obligations under those agreements, including obligations concerning availability, security, confidentiality, client materials, warranties, liability, or indemnification. The applicable separate agreement controls its subject matter.
Materials provided by a client through the Client Portal remain subject to the applicable client agreement. Uploading material to the Client Portal does not by itself transfer ownership of that material to Resource Data.
4. Intellectual Property
The Site and the text, graphics, photographs, videos, logos, trademarks, software, design, layout, and other content made available through it (collectively, “Site Content”) are owned by or licensed to Resource Data and are protected by applicable intellectual property laws.
Subject to these Terms, Resource Data grants you a limited, revocable, non-exclusive, non-transferable license to access the public Site and to download, print, and share reasonable copies of publicly available Site Content for internal business evaluation and informational purposes. Copyright, trademark, attribution, and other proprietary notices must be retained and the materials must not be modified or presented in a misleading context. Ordinary technical copies needed to display the Site are permitted. Materials provided under separate license terms remain subject to those terms.
Except as permitted by these Terms, by the relevant owner’s written permission, or by applicable law, you may not reproduce, republish, modify, distribute, sell, license, create derivative works from, publicly display, or commercially exploit Site Content without Resource Data’s prior written permission.
Resource Data’s names, trademarks, service marks, and logos may not be used in a manner that suggests sponsorship, endorsement, affiliation, or authorization without Resource Data’s prior written permission. Third-party names, trademarks, and materials remain the property of their respective owners. Nothing in these Terms restricts uses permitted by applicable law.
Copyright Concerns. If you believe content on the Site infringes your copyright, please contact Resource Data through our Contact Us page and identify the copyrighted work, the material you believe is infringing, its location on the Site, and your contact information. We will review the information and determine an appropriate response.
5. Acceptable Use
You may use the Site only for lawful purposes. You may not:
- violate applicable law or the rights of another person or organization;
- impersonate another person or submit fraudulent, deceptive, or malicious communications;
- attempt to gain unauthorized access to accounts, password-protected areas, systems, networks, data, or restricted portions of the Site or Client Portal;
- bypass, probe, scan, test, circumvent, or interfere with security or authentication controls without authorization;
- introduce malware, malicious code, or other technology intended to damage, disrupt, or impair systems;
- interfere with the operation, security, or availability of the Site or impose an unreasonable load on it;
- submit material that you do not have the right or authority to provide;
- collect personal information for unlawful purposes or unsolicited bulk communications; or
- use automated tools to impose an unreasonable load, bypass access restrictions, or reproduce substantial portions of the Site for unauthorized republication.
These restrictions do not prohibit ordinary browser use, accessibility or reading-assistance tools, or indexing and retrieval of public pages by search engines and answer services that comply with Resource Data’s applicable published crawler instructions and access restrictions. Such services may display brief attributed excerpts with links to the Site. This permission does not authorize access to nonpublic information, circumvention of technical controls, or bulk republication.
Resource Data may restrict access where reasonably necessary to protect the Site, investigate misuse, address security threats or violations of these Terms, or protect Resource Data, its clients, users, systems, or others. We may report suspected unlawful activity to appropriate authorities. Nothing in this section restricts activity that Resource Data has expressly authorized or that applicable law protects.
6. Linking to the Site
You may link to any publicly available page of the Site if the link is lawful and does not falsely suggest sponsorship, affiliation, approval, or endorsement by Resource Data.
You may not frame the Site or present Site Content in a manner that misrepresents its source, removes attribution, or misleadingly alters its presentation. Resource Data may ask you to remove a link or framing that violates these conditions.
7. Site Content and Reliance
Resource Data may update, change, remove, or discontinue Site Content at any time. Although we seek to provide useful and accurate information, we do not warrant that Site Content is complete, current, error-free, or appropriate for every circumstance.
Site Content does not constitute legal, financial, accounting, cybersecurity, engineering, or other professional advice tailored to your circumstances. You are responsible for evaluating information and obtaining appropriate professional advice before relying on it.
8. Submissions, Files, and Applications
The Site may allow you to submit messages, files, requests, feedback, employment application materials, or other information. You represent that you have the right and authority to provide the information and materials you submit.
When using a general public Site form, submit only information reasonably relevant to your inquiry. Do not submit confidential business information, trade secrets, or highly sensitive personal information unless Resource Data has requested the information or separately agreed to receive it through an appropriate process.
That restriction does not apply to information specifically requested through an authorized Client Portal, employment application, or other process designed to receive that type of information. Client Portal information remains subject to applicable client agreements, and applicant personal information is handled as described in Resource Data’s Privacy Policy and applicable applicant privacy notices.
A general inquiry does not create a confidentiality agreement or transfer ownership of your materials to Resource Data. Existing confidentiality obligations remain in effect. Submitting an employment application does not guarantee an interview, consideration for a particular position, or employment.
Unless otherwise agreed in writing, submitting an unsolicited idea, concept, suggestion, or feedback does not prevent Resource Data from independently developing, using, or providing similar ideas, methods, products, or services.
9. Third-Party Websites and Services
The Site may link to, embed, or integrate with third-party websites, recruiting platforms, professional-networking or social-media services, security tools, maps, content, or other services.
Resource Data does not control the independent content, availability, security, terms, or privacy practices of third parties, and a link or integration does not by itself imply endorsement. Your use of a third-party service may be subject to that provider’s own terms and privacy notices.
Nothing in this section excludes responsibilities that applicable law places on Resource Data for its own conduct or handling of personal information.
10. Privacy, Cookies, and Accessibility
Resource Data’s Privacy Policy describes how Resource Data collects, uses, discloses, and retains personal information in connection with the Site and related interactions.
The Cookie Policy describes cookies and similar technologies used on the Site and available controls. You can access available privacy-preference controls through the Your Privacy Choices link in the Site footer.
Resource Data also maintains a Web Accessibility Policy describing its approach to website accessibility.
These Terms do not replace those notices, govern the exercise of privacy rights, require consent to optional tracking, or waive or limit rights available under applicable privacy law. Personal information submitted through the Site, recruiting channels, Client Portal, or other covered interactions is handled as described in the applicable privacy notices and, where applicable, separate agreements.
11. Site Availability and Security
Resource Data may modify, maintain, suspend, restrict, or discontinue all or part of the Site or Client Portal when reasonably necessary for business, security, maintenance, legal, or operational reasons.
We do not guarantee that the Site, Client Portal, or any feature will always be available, uninterrupted, secure, or error-free. These statements do not change obligations Resource Data has under a separate written agreement.
You are responsible for protecting the systems, devices, software, credentials, and network connections you use to access Resource Data online resources.
12. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” RESOURCE DATA DISCLAIMS EXPRESS AND IMPLIED WARRANTIES REGARDING THE SITE AND SITE CONTENT, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND AVAILABILITY.
Nothing in these Terms excludes or limits a warranty, right, or remedy that applicable law does not permit Resource Data to exclude or limit. These Terms do not change obligations imposed by a separate written agreement.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RESOURCE DATA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO USE OF OR INABILITY TO USE THE SITE, RELIANCE ON SITE CONTENT, OR USE OF THIRD-PARTY WEBSITES OR SERVICES LINKED TO OR INTEGRATED WITH THE SITE.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, or rights or remedies that cannot lawfully be waived. These Terms do not exclude Resource Data’s responsibilities under applicable privacy law.
These limitations do not change any party’s rights or obligations under a separate written agreement with Resource Data, including any client agreement or agreement governing the Client Portal.
14. Indemnification
To the fullest extent permitted by applicable law, you agree to defend and indemnify Resource Data against third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Site, your material violation of these Terms, or material you submit without the rights or authority necessary to provide it.
This section does not alter indemnification obligations, if any, contained in a separate written agreement with Resource Data.
15. Government Users
For users acting in an official capacity on behalf of a federal, state, local, or tribal government entity, these Terms apply only to the extent permitted by applicable law and the user’s authority, notwithstanding any other provision of these Terms.
No obligation to defend or indemnify Resource Data applies to a government entity or an authorized user acting on its behalf to the extent that the obligation is prohibited by applicable law or exceeds the user’s authority.
Nothing in these Terms waives governmental immunity, creates an unauthorized obligation, or modifies a government contract.
16. Changes to These Terms
Resource Data may revise these Terms from time to time. We will post the revised version on this page and update the Effective / Last Updated date.
Revisions apply prospectively and do not amend a separate agreement or retroactively govern a dispute that arose before the revision.
For material changes affecting users with an ongoing relationship governed by these Terms, Resource Data will provide additional notice or obtain assent where required by applicable law. Posting revised Terms alone is not intended to override applicable notice or agreement requirements.
17. Governing Law and Venue
These Terms and disputes arising out of or relating to the Site are governed by the laws of the State of Alaska, without regard to conflict-of-laws principles, and applicable U.S. federal law.
Subject to applicable law and any controlling separate agreement, legal actions arising out of or relating to these Terms or the Site shall be brought in the state courts located in Anchorage, Alaska, or the United States District Court for the District of Alaska, as appropriate to the court’s subject-matter jurisdiction.
This provision does not override a separate agreement or a right to another forum that cannot lawfully be waived.
18. Severability and No Waiver
If a provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
Resource Data’s failure to enforce a provision of these Terms is not a waiver of that provision or any other provision.
